SCHRIFT APP End-user license agreement

This App End-User License Agreement, hereinafter ‹Agree-ment›, is a legal agreement betweet You and Schrift Foundry, which is a publishing brand operated by Schrift Publishers, Inc., hereinafter ‹Licensor›. ‹You› refers to the physical person or the legal entity as indicated on the according invoice.

§ 1 DEFINITIONS This Agreement is applicable to the accompanied Font Software, which refers to a computer file containing a coordinated set of scalable outline glyphs, essential spacing data, layout features, and is delivered in TrueType® format (TTF), hereinafter called ‹Font›. A ‹User› is the end-user who installs and uses the Font in accordance with the terms outlined in this Agreement obtained by You. The ‹App› is a mobile application software running on Android, iOS, Windows Phone and other such mobile device operating systems – software applications or games running on desktop operating systems.

§ 2 APP LICENCE GRANTS Upon full payment this Agreement grants You an non-exclusive, non-assignable and non-transferable right to use the Font, worldwide and without an expiration date, as long as you follow the terms outlined in this Agreement.

Authorised uses of the Font include: A. Embed the Font in a single App as specified in your invoice within an iOS, Android, or Windows Phone Application in such a way that it cannot be extracted, either fully or partially; B. Replicate the Font as an essential element of any such Application; C. Distribute the Font, either directly or indirectly, as a part of any such Application, according to the number of users indicated in the invoice.

This license is conditioned on all of the following: A. You are prohibited from using, embedding, linking, or uploading any version of the Font that is not directly provided by Schrift Foundry. C. You are buying a specific number of licenses from Schrift Foundry for a set number of monthly users. The average monthly amount of users of your Application must not exceed the amount shown on your invoice. If this limit is exceeded, you are obligated to purchase a license upgrade for the increased users amount.

§ 3 USAGE RESTRICTIONS A. You cannot transfer the font license to anyone else under any circumstances. You may only share the Font with as many of Users as are stated on the invoice. You explicitly agree not to rent, lease, sublicense or lend the Font to anyone else. You are not allowed to alter the Font in any way, which includes actions like decompiling, modifying, reverse-engineering, reformatting, changing, editing, or creating new versions of the Font, either by yourself or through third parties, without prior written permission from the Licensor. Sharing, renting, lending, gifting, selling, sublicensing, or any other form of distribution of the Font, to individuals who are not licensed to use it, is prohibited. B. The hosting or serving of the Font by any third party service is prohibited. The embedding of the Font directly into an electronic device like video game consoles, autonavigation systems, interactive terminals, phones, TV’s or any form of hardware is strictly prohibited. C. The Font must not be used in contexts that promote violence, hatred, or any kind of discrimination. D. You are not permitted to employ the Font or its data for the creation of new fonts or font-related services through artificial neural networks, machine learning, or any other algorithmic or generative techniques. E. You can not modify the Fonts under any circumstance. You may convert text into curves and edit those shapes in any vector editor.

§ 4 INTELLECTUAL PROPERTY AND TITLE The Font and the related documents are the exclusive intellectual property of Schrift Foundry and its designers, 
and are protected by the United States Copyright Law and other intellectual property laws of other countries, and by international treaties, irrespective of the country of exploitation.

§ 5 WARRANTY You can’t return or exchange the Font unless it’s defective. If it’s defective and you have the invoice, we’ll replace it with an updated Font within ten days of purchase. However, Schrift Foundry is not responsible for any damages resulting from the Font’s misuse. We don’t provide any warranties, whether express or implied, including merchantability and fitness for a specific purpose. We can’t guarantee that the Font will work without any interruptions, errors, or defects in any operational system and software. In no case will Schrift Foundry be liable to You or anyone else, whether in contract, negligence, or otherwise, for any indirect losses, special, consequential, or incidental damages. This includes things like lost profits, savings, data loss, or business disruption.

§ 6 LEGAL AND DISPUTES This Agreement is subject to and governed by the laws of Unated States of America. Any disputes arising from, or in connection with this contract, as well as any dispute over the materialisation of this contract, are exclusively subject to the law of the United States and will take place before the Superior Court of Dover, Delawar, USA.

§ 7 FINAL PROVISIONS This agreement (EULA) represents the complete agreement between both parties, and there have been no additional verbal agreements regarding this matter. Any additions, alterations, or subsidiary agreements to these terms must be documented in writing. Schrift Foundry retains the right to modify, update, revise the terms and conditions of this EULA whenever necessary. These modifications to the EULA will be communicated to the public by posting them on the schriftfoundry.com website. By downloading or installing the Font You agree to be bound by the terms of this EULA.
